Tutor - Terms & Conditions

1. Agreement to Terms

You must take the time to read and understand these Terms and Conditions before registering for the Certified Tutors service. By registering, you accept that you are entering into a contract with Certified Tutors LLC based on these Terms and Conditions. Visitors to the Certified Tutors website who do not register similarly affirm that they are bound by these Terms and Conditions each time they access the website. We may update these Terms and Conditions from time to time.

 

2. Definitions

- “Student” refers to students over the age of 18 or their parent/guardian for students under 18.  

- “Tutor” refers to individuals who register with Certified Tutors to offer tutoring services.  

- “Company,” “we,” or “us” refers to Certified Tutors LLC.

 

3. About Certified Tutors

Certified Tutors LLC is a limited liability company registered in Sharjah Media City, Sharjah, UAE under company number 2323048. Our registered office is at Sharjah Media City, Free Zone Authority, Sharjah, UAE.

The website serves to connect students with independent tutors. Certified Tutors does not provide tutoring services directly and does not guarantee to secure a Tutor for every Student or vice versa.

 

4. Operation & Access

Certified Tutors may, for legal or commercial reasons, withdraw or modify any part of the service. There may be periods when the website is inaccessible due to technical issues, in which case we will use reasonable efforts to restore access.

 

5. Tutors – Legal & Professional Obligations

- Tutors residing in the UAE must be legally entitled to work and hold their own visa.

- Tutors outside the UAE are responsible for declaring income and handling taxes in their own jurisdictions.

- Tutors must be at least 18 years old and hold appropriate teaching qualifications and/or experience.

- Tutors must update their information regularly and disclose any criminal convictions.

 

6. Independent Contractor Status & Liability

- Tutors are not employees of Certified Tutors. You are an independent service provider.

- Tutors are fully responsible for income tax, VAT (if applicable), insurance, and legal compliance in their country of residence.

- Certified Tutors is not liable for any claims arising from services delivered by the Tutor.

- Tutors agree to indemnify Certified Tutors from any related legal or financial claims.

7. Agency Relationship and Commission Structure

7.1 Role of Certified Tutors

Certified Tutors operates as an *agent, not as a principal. The Tutor is the sole provider of the tutoring service. Certified Tutors facilitates connections, bookings, and collects payments on behalf of the Tutor.

 

7.2 Collection and Commission

Certified Tutors may collect full payment from the Student on behalf of the Tutor.

From this payment:

- Certified Tutors will deduct a commission of 20-25% of the total session fee.

- The remaining 75-80% will be transferred to the Tutor’s designated account on a bi-weekly basis.

 

7.3 Invoicing and VAT

- Tutors must ensure they meet VAT registration requirements in the UAE (currently AED 375,000 annual turnover).

- Tutors who are VAT-registered are responsible for charging and reporting VAT on their own services if applicable.

 

8. Conduct and Bookings

- Tutors agree to offer a complimentary 30-minute trial lesson for new families.

- All lesson times must be booked and logged using Google Forms.

- Tutors must not solicit or attempt to disintermediate Certified Tutors or its Clients within *24 months* of any session or relationship.

- Lessons must be booked only following instructions from the Student or their guardian.

- Tutors must maintain professional behavior, arrive on time, and notify students, parents and the agency of any delays.

9. Academic Honesty

Tutors must not complete coursework or assignments on behalf of students under any circumstances.

 

10. Payment Errors & Responsibility

- Tutors are responsible for providing correct payment information. Certified Tutors is not liable for incorrect IBANs or payment failures resulting from Tutor error.

11. Termination of Tutor Access

Certified Tutors may suspend or terminate access for any Tutor found to be in violation of these Terms. This includes failing to respond to clients, soliciting clients independently, or any other breach of professional standards.

12. Cancellations and Complaints

(Refer to the existing *Cancellations* and *Missed Lessons & Complaints* sections below in this document — these remain unchanged.)

Final Note

 

By registering as a Tutor, you confirm that you have read, understood, and agreed to these Terms and Conditions and that you act in accordance with all applicable local laws, including those related to taxes and work authorization.

 

Agency and Payment Collection Clause

1. Appointment as Agent
The Tutor hereby appoints Certified Tutors LLC (the “Agency”) as their disclosed agent for the purpose of marketing, arranging, and facilitating tutoring services to clients, and for the collection of fees on the Tutor’s behalf.

2. Invoicing and Collection  
The Agency is authorized to issue invoices to clients for tutoring services rendered by the Tutor. All such invoices shall clearly state that they are issued by the Agency on behalf of the Tutor, who remains the principal provider of the services.

3. Fee Handling 
The Agency shall collect payments from clients and, after deducting a service fee of 20-25% of the total invoice amount, remit the remaining balance to the Tutor on a bi-weekly basis. The Agency, Certified Tutors LLC, shall issue a separate invoice to the Tutor for this service fee.

4. VAT Treatment 
The parties acknowledge and agree that the Tutor is the principal supplier of the services and, as such, is responsible for any VAT obligations related to the tutoring services provided. The Agency’s 25% commission shall be treated as its own revenue, and VAT will be accounted for accordingly, if and when applicable.

5. No Employment Relationship
Nothing in this agreement shall be construed as creating an employer-employee relationship between the Agency and the Tutor. The Tutor remains an independent contractor at all times.

Students & Families -Terms & Conditions

All references to “Student” refers to students above the age of 18 and/or their parent and/or guardian for students under the age of 18. ​

​

1. Students acknowledge that Certified Tutors may use data for statistical analysis and may provide this to interested third parties.

2. Students warrant that their e-mail and other contact addresses are valid and will be up to date when using the Website.

3. Students agree not to impersonate any other person or entity or to use a false name or a name that they have no authority to use.

4. Students acknowledge that Certified Tutors are not liable for direct or indirect consequential or any other form of loss or damage that may be suffered by a user through the use of the Website including loss of data or information or any kind of financial or physical loss or damage.

5. Students acknowledge that Certified Tutors give no guarantee that the website is free of viruses, worms or any other form of harmful components.

6. Certified Tutors is not responsible for the acts or omissions of students or tutors and is solely responsible for its acts or omissions of itself.

7. Students must be at least 18 years old to request a tutor for themselves. Students under the age of 18 must be represented by a parent or legal guardian who gives consent for them to receive tuition from a tutor via Certified Tutors. Certified Tutors is not responsible for any dispute between a person under the age of 18 and a parent or guardian.

8. Students are entitled to a trial lesson, up to 30-minutes, with a Tutor recommended by Certified Tutors prior to purchasing a package of lessons. 

9. To confirm any further bookings with a tutor, the student must enter, or have already entered, valid payment details on the website and paid for a package.

10. When a booking is confirmed, the student enters into a direct contract with the tutor for the provision of lessons and Certified Tutors accepts no liability concerning the tutor's provision of lessons.

11. Students agree not to circumvent or disintermediate, or attempt to circumvent or disintermediate, Certified Tutors in any way at the time of booking any tutor, during any period of confirmed bookings with any tutor or at any time within nine months of the date of the most recent booking with the relevant tutor. 

12. In the circumstance of in-person home tuition, students must ensure that they have given enough information to the tutor, including their correct address, to allow the lesson to take place. If a lesson is to take place at the student's home, the student must provide a suitable setting for tuition.

13. Any student who fails, in Certified Tutors’ reasonable opinion, to comply with these terms and conditions may be immediately barred from using the website and any related services. Certified Tutors reserves the right to cancel any existing bookings in such circumstances.

14. Cancellations: students or families may cancel any booking, without incurring any charge, by giving more than 8 hours' notice to the Tutor. See details about cancellations in the Section titled “Cancellations” below. 

15. Nothing in these terms and conditions affects a student's statutory rights.

16. Simply by agreeing to these terms and conditions, a student is not required to sign up with any tutor or make any bookings.

17. Subject to paying for any bookings used, a student may cease to use the Certified Tutors service at any time.

Payments

1. For students, the lesson fee is a combination of the tutor's price and commission fees. The commission fee will be collected by Certified Tutors as a provider of the site services. All fees shall be payable in AED.

2. The lesson fee will be determined by the provider based on their assessment of the duration and type of service being provided. (Certified Tutors reserve the right to adjust or increase the commission fee from time to time).

3. Certified Tutors will receive up to 25% of the payment towards commission fees, payment fees and other fees required for the running of the website.

4. The student agrees to purchase a monthly package of lessons before their sessions begin. Payments will be released to the Tutor on a bi-weekly basis.

5. If any student or parent makes a complaint (claiming for a missed lesson or raising a refund request), charges may nevertheless be processed as usual to collect a payment, and refunded as appropriate, following these terms and conditions and investigation by the Certified Tutors team.

6. If a lesson does not take place because a student does not attend (whether in person or online), the student will be charged half the lesson fee, at the discretion of the Tutor and Certified Tutors Company.

7. Tutors are responsible for providing the correct payment information when requested. Any error in IBAN or account details could result in payments being sent to the wrong account. Certified Tutors will not be liable for such errors related to local or international payment information.

Cancellations

1. A student may cancel a booking at any point before the scheduled start time of a lesson.

2. A student may cancel a lesson by contacting the tutor and the tutor is then responsible for canceling the booking on the website. 

3. Cancellations made 8 or more hours before a lesson is due to commence will incur no charge.

4. Bookings canceled by a student less than 8 hours before a lesson is due to commence may incur a charge. Certified Tutors leaves it to the tutor's discretion whether to accept the cancellation request and not charge any lesson fee or to charge the student half the lesson fee, as displayed at the time of confirming their booking. Unless instructed otherwise by the tutor, Certified Tutors will, as the tutor's agent, automatically charge half the lesson fee and payment will be processed following these terms and conditions. 

5. Tutors may cancel a booking at any time before a lesson takes place. To do so, tutors must inform the student directly and cancel the booking on the website. In the event of a tutor canceling a booking, the student will not be charged any lesson fee or, if the student has paid the lesson fee, will receive a full refund.

6. Bookings cannot be canceled after the lesson has started.

Missed lessons and Complaints

1. As defined at the end of these terms and conditions, a "Complaint" covers any cause for the student to seek a refund as a result of the service provided by the tutor, including, but not limited to, a missed lesson (where the tutor did not attend a lesson booked on the website) or a claim about quality (where the student feels that the service provided by a tutor falls below the standards they reasonably expected).

2. A student should inform Certified Tutors of a Complaint by email within 48 hours after the scheduled finish time of the relevant lesson.

3. When a complaint has been received from a student, Certified Tutors will contact the tutor within 48 hours of the complaint being received, by email and text message to inform the tutor that a complaint has been raised.

4. Should a student inform Certified Tutors of a complaint within 48 hours after the scheduled finish time of the relevant lesson, the tutor has 48 hours to inform Certified Tutors through the website of their desire to dispute the complaint (and reject the associated refund request). Should the tutor not dispute the complaint through the website within 48 hours of being notified of the complaint, Certified Tutors, as the agent of the tutor, will process a full refund to the student of the tutor Fee. Certified Tutors will promptly inform the student of the tutor's decision whether or not to uphold their complaint by email and, if upheld, authorize the associated refund.

5. Should the student and tutor not reach an amicable agreement regarding a complaint, the student is entitled to make a claim against the tutor in relation to the complaint. As set out in clause 11, Certified Tutor accepts no liability concerning complaints and the services provided by a tutor.

6. Certified Tutors reserves the right to offer any student, as a gesture of goodwill, payment of a sum equivalent to the full lesson Fee. Such a payment will be awarded solely at Certified Tutors' discretion.

7. In the event of more than one complaint, Certified Tutors will observe the next session taking place and ensure that quality teaching is occurring.
